1. Introduction and Acceptance of Terms

VWLights ("Company", "we", "us", "our") is engaged in the business of manufacturing customized lighting products for commercial and residential applications. This website (the "Site") and all associated services provide a platform for customers to request quotations, review samples, and place orders for made-to-order lighting products.

These Terms and Conditions ("Terms") establish the legal and binding relationship between you (the "Customer", "you", "your") and VWLights and govern all transactions conducted through the Site, including the quotation request process, order placement, and product delivery.

By accessing, browsing, or using the Site in any manner, you automatically agree to be legally bound by these Terms and Conditions. If you do not agree to these Terms, you must immediately discontinue use of the Site. Your continued use of the Site constitutes your acceptance of these Terms.

These Terms and Conditions are governed by the Information Technology Act, 2000, the Indian Contract Act, 1872, and the Consumer Protection Act, 2019, as applicable to online businesses operating in India.

2. Quotation Process and Acceptance

2.1 No Direct Online Orders

Important: VWLights does NOT accept direct product orders through the Site's shopping cart or checkout process. All orders are conducted through a quotation-based system as follows:

2.2 How to Request a Quotation

To place an order with VWLights, follow these steps:

Submit Quotation Request: Complete and submit a detailed quotation request form through the Site, specifying:
- Your lighting requirements and specifications
- Desired quantities
- Customization preferences
- Delivery timeline and location
- Any other special requirements
VWLights Response: Our sales team will review your request and prepare a customized quotation including:
- Detailed product specifications
- Pricing (inclusive of applicable taxes and charges)
- Manufacturing lead time (4-15 business days)
- Shipping and delivery terms
- Payment schedule (typically 50% advance, 50% on dispatch)
- Valid period of quotation (typically 7 days)
Quotation Acceptance: A quotation is not a binding offer until you explicitly accept it in writing by:
- Signing and returning the quotation acknowledgment
- Providing written email confirmation of acceptance
- Making the initial payment as specified in the quotation
Sample Manufacturing: Upon quotation acceptance, VWLights will manufacture a sample unit according to your specifications for your approval.
Sample Review and Approval: You will receive the sample for review. You must thoroughly inspect and either:
- Approve the sample (written confirmation required), which triggers full-scale manufacturing, OR
- Request modifications to the sample (subject to time and cost implications), OR
- Reject the sample and cancel the order (cancellation charges may apply)
Order Confirmation: Once the sample is approved in writing, the order is formally confirmed and full manufacturing begins.

2.3 Quotation Validity and Revocation

Quotations are valid for the period specified in the quotation document (typically 7 calendar days from issue date)
Quotations may be revoked or modified by VWLights at any time before written acceptance by the Customer
Prices, lead times, and specifications in expired quotations are subject to change
Customers are encouraged to accept quotations promptly to ensure pricing and availability

2.4 Acceptance of Quotation Constitutes Binding Agreement

By accepting a quotation, you acknowledge and agree that:

You have reviewed all terms, specifications, pricing, and delivery information
You accept all terms contained in the quotation and these Terms and Conditions
You agree to the payment schedule outlined in the quotation
You commit to proceeding with the order as specified
No modifications to the order are permitted after this point without written consent from VWLights
The manufacturing timeline and delivery estimates are based on the accepted specifications

By accepting a quotation, you enter into a legally binding contract with VWLights and cannot cancel or withdraw your acceptance without incurring cancellation fees and penalties as outlined in Section 9 below.

3. Pricing and Payment Terms

3.1 Price Quotation

All prices provided in quotations are as quoted on the date of the quotation and are subject to the terms specified in the quotation
Prices are subject to change without notice if the quotation is not accepted within the specified validity period
Prices are f.o.b. VWLights manufacturing facility (Incoterms 2020) and do not include shipping, courier, or delivery charges unless expressly stated
Shipping costs are quoted separately and are non-refundable once the order enters manufacturing

3.2 Taxes and Charges

All prices are exclusive of GST (Goods and Services Tax) unless explicitly stated as "GST Inclusive"
GST at the applicable rate will be added to your invoice as a separate line item and is payable by the Customer
VWLights will provide a valid GST invoice for all orders placed by registered businesses
Customers are responsible for all applicable taxes and duties in their jurisdiction

3.3 Payment Schedule

Unless otherwise agreed in writing, payment terms are structured as follows:

Standard Payment Terms:

50% Advance Payment upon quotation acceptance and order confirmation (non-refundable)
50% Balance Payment on or before the scheduled dispatch date

Payment Method:
Payments must be made via:

Bank transfer / NEFT / RTGS to VWLights's designated bank account
Cheque (made payable to VWLights)
Debit/credit card (if payment gateway is available on Site)
Other payment methods as mutually agreed in writing

Payment Due Dates:

Advance payment is due within 3 business days of order confirmation
Balance payment is due by 5:00 PM IST on the scheduled dispatch date
Failure to pay advance amount within the stipulated time may result in automatic order cancellation

3.4 Late Payment Charges

If payment is not received by the due date:

A late payment charge of 1.5% per month (or the maximum permitted by law, whichever is lower) will be applied to overdue amounts
VWLights reserves the right to suspend manufacturing and shipment until full payment is received
VWLights reserves the right to terminate the order and levy cancellation charges if payment is not received within 15 days of the due date
All costs incurred by VWLights (collection agency fees, legal fees, etc.) will be the responsibility of the Customer

3.5 Currency and Payment Details

All prices are quoted in Indian Rupees (INR)
Bank charges for international transfers (if applicable) are the responsibility of the Customer
VWLights does not accept payment in foreign currencies; all payments must be in INR

3.6 Payment Disputes

Any disputes regarding invoiced amounts must be reported in writing within 7 days of invoice receipt
Disputed amounts must be submitted with detailed documentation of the discrepancy
Payment of non-disputed amounts is not suspended due to disputes
VWLights will investigate disputes and respond within 10 business days

4. Customization, Specifications, and Sample Approval

4.1 Customer Responsibility for Specifications

You are responsible for providing accurate, complete, and detailed specifications for your custom lighting products, including:

Design and aesthetic requirements
Technical and electrical specifications
Materials and finishes
Dimensions and configurations
Functional requirements (dimming, color temperature, brightness, etc.)
Any special customization or modifications

VWLights will manufacture products according to the specifications you provide. It is your responsibility to ensure that all specifications are correct, technically feasible, and suitable for your intended use.

4.2 Sample Approval Process

Before full-scale manufacturing, a sample unit will be manufactured according to your specifications. The sample approval process works as follows:

Sample Inspection: You will inspect the sample upon delivery and have 5 business days to review it thoroughly
Sample Approval: You must provide written approval of the sample (email confirmation acceptable)
Sample Rejection or Modification Requests: If the sample does not meet your requirements, you may:
- Request specific modifications (subject to feasibility, additional cost, and extended lead time)
- Reject the sample and request a revised sample (additional charges may apply)
- Reject the sample and cancel the order (cancellation charges apply per Section 9)
Deemed Approval: If you do not communicate any rejection or modification request within 5 business days of sample delivery, the sample is deemed approved and full manufacturing will commence automatically
Changes After Approval: Once you have approved the sample in writing, no further changes to specifications are permitted. Any changes requested after approval will not be implemented, as manufacturing will already be underway

4.3 VWLights's Right to Modify Design for Technical Reasons

VWLights reserves the right to make technical, aesthetic, or constructional modifications to the design if:

Such modifications are necessary to meet delivery deadlines
Such modifications are required for technical feasibility or safety compliance
Such modifications are necessary due to material availability or budget constraints
Such modifications maintain the overall functionality and appearance of the product

All modifications will be communicated to you in writing, and significant modifications will not be implemented without your written approval.

5. Manufacturing, Lead Time, and Delivery

5.1 Manufacturing Timeline

Lead Time: Manufacturing typically requires 4 to 15 business days from the date of order confirmation (after sample approval), depending on:

Order quantity and complexity
Customization specifications
Material availability
Current production capacity

Lead times are estimates only and are not guaranteed delivery dates. VWLights will make reasonable efforts to meet estimated timelines but cannot guarantee delivery by any specific date.

5.2 Causes of Delay Beyond VWLights's Control

VWLights is not liable for delays caused by circumstances or events beyond its reasonable control, including:

Material procurement delays
Supply chain disruptions or shortages
Manufacturing equipment failures
Labor disputes or labor unavailability
Weather conditions or natural disasters
Government actions, regulations, or restrictions
Strikes, civil unrest, or acts of God
Courier or transportation delays
Any force majeure event

In such cases, lead times will be automatically extended without liability to VWLights, and you agree to accept the extended delivery timeline without cancellation rights.

5.3 Delivery Scope

VWLights delivers products exclusively to Tier 1 and Tier 2 cities in India only. Deliveries to other locations are not available unless specially arranged in writing. Please refer to the Shipping Policy for complete details on delivery scope, delivery methods, and delivery timelines.

6. Risk of Loss and Ownership

6.1 Risk of Loss

Risk of loss of the products passes to you upon delivery to the courier/carrier at VWLights's manufacturing facility, even if you have not yet paid the balance amount. This means:

VWLights is not responsible for loss or damage after the product leaves its facility
Any insurance for transit damage must be arranged by you if desired
You assume full responsibility for the product once it is handed over to the courier
Claims for transit damage must be reported within 48 hours of delivery

6.2 Title and Ownership

Title (ownership) of the products remains with VWLights until full payment (100%) has been received by VWLights. Until full payment is received:

You have possession of the product but do not own it
VWLights retains a security interest in the product
You may not resell, mortgage, or encumber the product
If you breach payment terms, VWLights may repossess the product at your expense

Once full payment is received, title and all ownership rights transfer to you.

7. Warranties and Disclaimers

7.1 Limited Warranty

VWLights warrants that:

Conformity to Specifications: Products will be manufactured in substantial conformity with the specifications set out in the accepted quotation and approved sample
Good Title: VWLights will convey good title to the products free from any valid security interest, lien, or encumbrance not known to you
Manufacturing Standards: Products will be manufactured using standard materials and manufacturing tolerances applicable to the lighting industry

7.2 Disclaimer of Other Warranties

EXCEPT AS EXPRESSLY STATED ABOVE, VWLIGHTS MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, including:

Implied warranties of merchantability or fitness for a particular purpose
Warranties regarding durability, performance, or suitability for any specific use
Warranties that the products will meet any particular standards or regulations not explicitly specified in the quotation

You assume all responsibility for determining whether the products are suitable for your intended use and application.

7.3 Warranty Claim Process

Claims for defective goods, manufacturing defects, or failure to conform to specifications must be made in writing within 30 days of product delivery. Claims must include:

Detailed description of the defect
Photographs or documentation of the defect
Order number and delivery date
Proof that the defect is attributable to manufacturing and not customer misuse

If a valid claim is established, VWLights will, at its sole option, either:

Repair or replace the defective product at no cost
Refund the purchase price of the defective product

Claims not made within 30 days of delivery are deemed waived and released.

8. Limitation of Liability and Indemnification

8.1 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

Total Liability Cap: VWLights's total liability for any claim arising from these Terms or any order under these Terms is limited to the refund of the purchase price or the cost of repairing/replacing the product, at VWLights's sole option
No Consequential Damages: VWLights shall not be liable for any consequential, indirect, incidental, special, or punitive damages, including:
- Loss of profits, income, or business opportunities
- Loss of use or functionality
- Installation delays or project delays
- Inconvenience or business interruption
- Any indirect losses whatsoever

Even if VWLights has been advised of the possibility of such damages.

8.2 Indemnification by Customer

You agree to indemnify, defend, and hold harmless VWLights from and against all claims, damages, losses, liabilities, costs, and expenses (including attorney fees) arising from:

Your breach of these Terms and Conditions
Your negligent or wrongful use of the products
Your violation of any applicable law or regulation
Any claims by third parties arising from your possession or use of the products
Your failure to comply with specifications or safety requirements for electrical installations
Any improper installation, use, or modification of the products by you

9. Cancellation and Order Modification

9.1 Cancellation Before Manufacturing

Orders may be cancelled before manufacturing begins (typically within 24-48 hours of order confirmation). Cancellation terms are:

Full refund of product cost: Available if no materials have been procured
Non-refundable processing fee: [5-10%] of the product cost if materials have been partially procured
Shipping cost: Non-refundable if already paid
Approval required: Cancellation requires written approval from VWLights

9.2 No Cancellation After Manufacturing Begins

Once manufacturing has commenced, orders CANNOT be cancelled. You agree to accept and pay for the manufactured product in full.

VWLights will communicate the manufacturing start date to you. Cancellation requests received after this date will be rejected without refund.

9.3 Order Modifications

Modifications to order specifications, quantity, or delivery address are only permitted before manufacturing begins (typically within 24-48 hours of order confirmation) and are subject to:

Feasibility assessment by VWLights
Potential adjustment to lead time and shipping costs
Mutual written agreement on revised quotation

No modifications are permitted after manufacturing has commenced.

9.4 Cancellation Charges and Penalties

If VWLights authorizes cancellation after manufacturing has commenced, you will be charged:

50% of the total order value as a cancellation penalty (for partial manufacturing cancellations)
100% of the order value (for full manufacturing cancellations, if manufacturing is substantially complete)
All material and labor costs incurred by VWLights
Storage and handling charges at [insert rate] per day

These charges are non-negotiable and represent genuine pre-estimated losses.

10. Intellectual Property and Content Protection

10.1 Ownership of Site Content

All content on the Site, including but not limited to text, images, graphics, logos, designs, photographs, product specifications, and documentation (collectively, "Content") is the exclusive property of VWLights or its content providers and is protected by copyright, trademark, and other intellectual property laws.

10.2 License Grant

VWLights grants you a limited, non-exclusive, non-transferable license to view and use the Content solely for the purpose of requesting quotations and placing orders with VWLights. This license does not permit you to:

Copy, reproduce, or download Content without express written permission
Modify, distribute, publish, or transmit Content
Use Content for commercial purposes
Reverse-engineer or attempt to extract underlying code
Create derivative works based on Content
Remove copyright, trademark, or other proprietary notices

10.3 Customer Designs and Specifications

If you provide custom designs, artwork, or specifications to VWLights for manufacturing:

You warrant that you own or have the right to license all intellectual property in your designs
You grant VWLights a non-exclusive, worldwide license to use your designs solely to manufacture products for you
VWLights does not claim ownership of your designs
You indemnify VWLights against any claims that your designs infringe third-party intellectual property rights

11. User Conduct and Acceptable Use Policy

11.1 Acceptable Use

By using the Site, you agree not to:

Violate any applicable law, regulation, or third-party right
Transmit illegal, defamatory, obscene, threatening, or abusive content
Harass, threaten, or abuse other users
Interfere with Site operations or security systems
Transmit viruses, malware, or harmful code
Engage in unauthorized access to Site systems
Impersonate any person or entity
Submit false, misleading, or fraudulent information in quotation requests
Attempt to manipulate pricing or exploit Site vulnerabilities
Use automated tools (bots, scrapers) to access the Site without permission
Engage in any form of hacking, phishing, or social engineering

11.2 Consequences of Unacceptable Use

If you violate the Acceptable Use Policy, VWLights may, in its sole discretion:

Suspend or terminate your access to the Site
Cancel your orders without refund
Report your conduct to relevant authorities
Pursue legal action against you for damages

12. Representation and Warranty of Authority

You represent and warrant that:

You have the legal capacity and authority to enter into this agreement
If you are placing an order on behalf of a business or organization, you are authorized to do so
All information provided in quotation requests is accurate, complete, and truthful
You will not use the Site or products for any illegal purpose
You understand the technical and electrical specifications of the products you are ordering

13. Termination and Suspension of Access

13.1 Termination by VWLights

VWLights may terminate your access to the Site and cancel orders at any time, with or without cause, by providing written notice. Termination may occur if:

You violate these Terms and Conditions
You provide false or misleading information
You fail to pay undisputed amounts
Your conduct violates applicable law
You engage in fraud or abuse of Site services

13.2 Termination by Customer

ou may terminate your relationship with VWLights by ceasing to use the Site and cancelling any pending orders (subject to the Cancellation Policy in Section 9). Termination does not relieve you of payment obligations for orders already confirmed and manufacturing.

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms and Conditions, all quotations, invoices, and all transactions are governed by and construed in accordance with the laws of India, specifically:

The Information Technology Act, 2000
The Indian Contract Act, 1872
The Consumer Protection Act, 2019
All other applicable laws of India

14.2 Dispute Resolution Process

Step 1: Informal Resolution
If any dispute arises, the parties agree to attempt to resolve it through good-faith negotiation and communication within 15 days of the dispute arising.

Step 2: Formal Notice
If informal resolution fails, the complaining party must send a formal written notice detailing the dispute to VWLights at the contact address below.

Step 3: Mediation or Arbitration
If the dispute is not resolved within 30 days of formal notice, the parties agree to submit to mediation or arbitration as applicable under Indian law.

Step 4: Legal Action
If mediation/arbitration fails, either party may pursue legal action in the courts.

14.3 Jurisdiction and Venue

Any legal proceedings arising from these Terms shall be subject to the exclusive jurisdiction of the courts in the location of VWLights's registered office in Bengaluru, Karnataka, India (or such other location as VWLights may specify in writing).

15. Grievance Officer and Complaint Resolution

As required under the Information Technology Rules, 2021, VWLights appoints a Grievance Officer to address customer complaints and concerns.

Submit your complaint in writing via email to the Grievance Officer
Include your order number, detailed description of the complaint, and supporting documentation
The Grievance Officer will acknowledge receipt within 24 hours
A resolution will be attempted within 30 days of complaint receipt

16. Changes to Terms and Conditions

16.1 Right to Modify

VWLights reserves the right to update, modify, or amend these Terms and Conditions at any time without prior notice. Updated Terms will be posted on the Site with a revised "Last Updated" date.

16.2 Effect of Changes

Your continued use of the Site following any changes constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically for updates.

16.3 Material Changes

For material changes that negatively affect your existing rights or obligations, VWLights will attempt to provide notice to you via email or Site notification. Significant changes will be communicated at least 15 days before taking effect.

17. Miscellaneous Provisions

17.1 Entire Agreement

These Terms and Conditions, together with the Privacy Policy, Shipping Policy, Return & Replacement Policy, and any quotation accepted by you, constitute the entire agreement between you and VWLights regarding the subject matter hereof and supersede all prior or contemporaneous understandings, negotiations, and agreements, whether written or oral.

17.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be severed, and the remaining provisions will remain in full force and effect.

17.3 Waiver

The failure of VWLights to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. A single waiver of a provision does not constitute a continuing waiver of that provision.

17.4 Notices

All notices, demands, or communications required under these Terms must be in writing and delivered by:

Registered mail to VWLights's registered office
Courier to VWLights's principal place of business

17.5 Assignment

You may not assign, transfer, or delegate these Terms or any rights/obligations hereunder without VWLights's prior written consent. Any attempted assignment without consent is void. VWLights may assign these Terms to any successor or affiliate without notice.

17.6 Force Majeure

Neither party is liable for delays or failures in performance due to circumstances beyond reasonable control, including war, natural disasters, pandemics, government actions, or other force majeure events. The affected party must notify the other party of the force majeure event and make reasonable efforts to resume performance.
